Terms & Conditions of Sales

This agreement (the “Agreement”) is made and entered into as of the date of the first payment by the client (the “Effective Date”) by and between AW Digital (“AW Digital” or “Company”) and the client (“Client”).

  1. SERVICES AND DELIVERY

AW Digital agrees to provide social media and SEO services to the Client as described in the purchase agreement. The services shall be provided on a month-to-month basis, commencing on the Effective Date and continuing until the Agreement is terminated.

  1. PAYMENT

The Client agrees to pay AW Digital the fees as specified in the purchase agreement. The payment shall be made on a monthly basis and is due on the first day of each month or as specified. In the event of late payment, AW Digital may suspend services until payment is received.

  1. TERM AND TERMINATION

This Agreement shall remain in effect until either party terminates the Agreement. Either party may terminate this Agreement at any time by providing written notice to the other party at least 30 days prior to the end of the current billing period. Upon termination, the Client shall pay AW Digital all fees due up to the termination date.

  1. OWNERSHIP

AW Digital retains all rights, title, and interest in any intellectual property developed or used in connection with the services provided to the Client under this Agreement.

  1. CONFIDENTIALITY

AW Digital agrees to keep all confidential information of the Client in strict confidence and shall not disclose any such information to any third party without the express written consent of the Client.

  1. WARRANTIES

AW Digital represents and warrants that it will provide the services in a professional and workmanlike manner, in accordance with industry standards. The Client acknowledges that AW Digital’s services are provided “as is” and without warranty of any kind, express or implied.

  1. LIMITATION OF LIABILITY

In no event shall AW Digital be liable to the Client or any third party for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the services provided under this Agreement.

  1. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of South Africa.

  1. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, whether written or oral.

  1. MODIFICATION

This Agreement may not be amended or modified except in writing signed by both parties.

By making a payment, the Client agrees to be bound by these Terms and Conditions of Sale.
